1. Acceptance of Terms

By creating an account or using Eomly's services, you agree to these Terms of Service. If you do not agree, please do not use the platform. These terms apply to all users — individuals and businesses — who access or use any part of Eomly's products and services.

2. Platform Role & Services

Eomly Inc. operates a software platform that provides commerce, business operations, and crowdfunding tools. Our products include Eomly Marketplace (storefronts and WhatsApp commerce), Eomly Business (invoicing, multi-currency balances, payouts, and payment links), and Eomly Send (crowdfunding campaigns for users in supported African countries). Eomly is not a bank, money transmitter, money services business, or financial institution. Payment processing, card issuance, and money movement are provided by licensed third-party partners (such as Stripe, Wise, Eversend, Kora, and Pawapay). Eomly provides the software platform, user interface, and settlement workflow — our partners handle regulated financial activities under their own licenses and terms. Certain features are marked as "Coming Soon" on our website and may not yet be available, including but not limited to: cross-border remittance, airtime and bill payments, and request money. We reserve the right to suspend, modify, or restrict access to any service at our discretion.

3. Use of Platform

You may use Eomly's services only for lawful purposes and in accordance with these terms. You agree to comply with all applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) requirements. We reserve the right to suspend or restrict access to any service if we believe you have violated these terms or pose a compliance risk.

4. User Responsibilities

You are responsible for maintaining the security of your account credentials, ensuring the accuracy of information you provide, and complying with applicable laws. You agree not to use the platform in any way that could harm Eomly, other users, or third parties. Campaign creators on Eomly Send are responsible for the accuracy of their fundraising campaigns and must use funds for the stated purpose.

5. Prohibited Activities

You may not use Eomly for money laundering, terrorist financing, fraud, or any other illegal activity. You may not create false or misleading fundraising campaigns. You may not attempt to reverse-engineer, hack, or compromise our systems. You may not create accounts using false identities or automate access to the platform without written permission.

6. Payments, Donations & Fees

Eomly may charge platform fees for certain services including marketplace sales, payment processing, currency conversion, and fundraising campaigns. All fees are disclosed before you complete a transaction. Donations to fundraising campaigns are processed by licensed payment partners; Eomly provides the campaign software and settlement workflow. We reserve the right to update our fee structure with reasonable notice.

7. Intellectual Property

All content, branding, software, and technology on the Eomly platform are owned by Eomly Inc. You may not copy, modify, distribute, or create derivative works from our materials without written permission.

8. Limitation of Liability

Eomly is provided on an "as is" basis. While we strive for reliability and accuracy, we do not guarantee uninterrupted service. Eomly is not liable for indirect, incidental, or consequential damages arising from your use of the platform, to the maximum extent permitted by law. Eomly is not responsible for the acts or omissions of licensed payment partners, though we select partners carefully and require them to meet our standards.

9. Account Termination

We may suspend or terminate your account if we believe you have violated these terms, engaged in fraudulent activity, or pose a risk to Eomly or other users. You may also close your account at any time through your account settings.

10. Dispute Resolution

Any disputes arising from your use of Eomly will be resolved through good-faith negotiation first. If unresolved, disputes will be subject to binding arbitration under the laws of the United States.

11. Updates to Terms

We may update these terms from time to time. When we do, we'll notify you through the platform or by email. Continued use of Eomly after changes are posted constitutes acceptance of the updated terms.
